Terms of Service

1. Acceptance of Terms

By creating an account, placing an order, or otherwise using the Platform, you confirm that you are at least 18 years old, are competent to contract under the Indian Contract Act, 1872, and accept these Terms together with our Privacy Policy, Refund & Cancellation Policy and Disclaimer. If you do not agree, please do not use the Platform.

2. About KanoonPe

KanoonPe is a technology and facilitation platform. We connect you with independent, verified professionals — Chartered Accountants (CAs), Company Secretaries (CS), advocates and other experts — who deliver legal, tax and compliance services to you.

KanoonPe is not a law firm, a chartered accountancy firm or a company secretarial firm, and it does not itself provide legal representation, legal advice, audit, tax or financial advisory services. Nothing on the Platform creates an attorney–client relationship with KanoonPe. In keeping with Rule 36 of the Bar Council of India Rules, KanoonPe does not solicit legal work or hold itself out as a provider of legal services; any regulated work is performed by the independent professional matched to your order, in their own professional capacity.

3. Services & Professional Engagement

When you place an order, KanoonPe facilitates your engagement with a suitably qualified professional. The scope, deliverables and timeline for each service are described on the relevant service page or in the order confirmation. The professional performs the regulated work; KanoonPe handles the surrounding experience — matching, standardised pricing, secure document handling, status tracking and support.

• The professional is solely responsible for the professional advice, drafting, review and filings they deliver.
• Outcomes that depend on government authorities (approvals, registrations, certificates) are subject to those authorities' processes and are not guaranteed by KanoonPe.
• You agree to cooperate, provide accurate information, and respond promptly to requests required to complete your service.

4. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current and complete information and to keep it updated. You must not:

• use the Platform for any unlawful or fraudulent purpose;
• submit forged, misleading or third-party documents without authority;
• attempt to disrupt, reverse-engineer or gain unauthorised access to the Platform; or
• infringe the rights of KanoonPe, professionals or other users.

We may suspend or terminate accounts that breach these Terms.

5. Fees & Government Charges

Prices shown on the Platform are all-inclusive of professional fees and applicable taxes (such as GST) unless stated otherwise. Government fees, statutory charges, stamp duty and third-party disbursements are billed at actuals — that is, the exact amount payable to the relevant authority, with no markup.

• Where government fees vary by state, slab or capital, the final amount is confirmed before payment or itemised in your invoice.
• Fees are payable in advance unless a different arrangement is stated for your order or subscription plan.
• Refunds, where applicable, are governed by our Refund & Cancellation Policy.

6. Service Timelines & the Filed-on-Time-or-Refund SLA

Each order ships with a written service-level commitment (an "SLA") stating the timeline within which KanoonPe and the matched professional will complete the steps within our control. If we miss a committed timeline for reasons attributable to KanoonPe or the professional, you are entitled to an automatic refund of the professional fee for that service — with no three-month or other fine-print waiting period.

The SLA clock excludes time spent waiting on (a) information, documents or approvals from you, and (b) government or third-party processing that is outside our control. Full SLA mechanics are set out in the Refund & Cancellation Policy.

7. Documents & KYC

To deliver many services, the professional must verify your identity and collect supporting documents (for example PAN, Aadhaar, incorporation papers or financial records). You authorise KanoonPe to securely store and share these documents with the assigned professional and, where required, the relevant government portal, strictly for the purpose of completing your service. Our handling of personal data is described in the Privacy Policy. Aadhaar is collected only on a voluntary, consent-based basis and is never compelled.

8. Intellectual Property

The Platform, including its software, design, text, graphics, logos and the "KanoonPe" brand, is owned by or licensed to KanoonPe and is protected by Indian and international intellectual property laws. You may use the Platform only as permitted by these Terms. You retain ownership of the content and documents you submit, and grant KanoonPe a limited licence to use them solely to provide the services.

9. Limitation of Liability

To the maximum extent permitted by law, KanoonPe is not liable for the professional advice, work product or omissions of the independent professionals, nor for delays or decisions of government authorities. KanoonPe's total aggregate liability arising out of or relating to the Platform or a given order is limited to the professional fees actually paid by you to KanoonPe for that order. KanoonPe is not liable for indirect, incidental, consequential or punitive damages, or for loss of profit, goodwill or data. Nothing in these Terms limits liability that cannot be limited under applicable law, including the Consumer Protection Act, 2019.

10. Indemnity

You agree to indemnify and hold harmless KanoonPe, its directors, employees and partner professionals from any claim, loss, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your submission of inaccurate, unlawful or infringing information or documents.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable consumer-protection rights, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified on the Platform or by email. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. The "Last updated" date above reflects the latest revision.
